1. Agreement to Terms

By creating an account or using Wakily AI (“Wakily”, “the Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including free-trial and paid subscribers.

2. Description of Service

Wakily AI is a subscription-based platform that lets e-commerce businesses deploy AI agents on messaging channels (Facebook Messenger, Instagram DM, WhatsApp Business, and a website chat widget) to automate customer conversations, handle product inquiries, and support order management.

3. Accounts

You must be at least 18 years old to create an account.
You are responsible for maintaining the confidentiality of your login credentials.
You are responsible for all activity that occurs under your account.
Notify us immediately at support@wakily.ai if you suspect unauthorized access.

4. Subscriptions and Credits

Plans are billed monthly in advance. All charges are in USD.
Credits are consumed per AI-generated reply. Unused credits do not roll over to the next billing period.
If you exceed your credit limit, the AI agent will pause until the next billing cycle or you upgrade your plan.
Prices may change with 30 days' notice. Continued use after a price change constitutes acceptance.
Payments are processed by Lemon Squeezy. By subscribing you also agree to their terms.

5. Refunds

We offer a 7-day refund for new subscribers who are unsatisfied with the Service. After 7 days, all charges are final. To request a refund, contact support@wakily.ai within the refund window.

6. Acceptable Use

You agree not to use the Service to:

Send spam, unsolicited messages, or engage in bulk messaging outside of Meta's messaging policies.
Impersonate any person or entity or misrepresent your business.
Distribute harmful, illegal, or offensive content through the AI agent.
Attempt to reverse-engineer, scrape, or abuse the platform's APIs.
Violate Meta's Platform Policies or WhatsApp Business Policy.
Engage in any activity that violates applicable laws or regulations.

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

7. AI-Generated Content

The AI agent generates responses based on the configuration and context you provide. You are solely responsible for reviewing your agent's configuration and ensuring that responses sent to your customers are accurate, appropriate, and compliant with applicable laws. Wakily AI does not guarantee the accuracy, completeness, or suitability of any AI-generated content.

8. Intellectual Property

The Wakily AI platform, branding, and codebase are owned by Wakily AI and protected by intellectual property laws. Your business content (product descriptions, FAQs, etc.) remains yours. You grant Wakily AI a limited license to process your content solely to provide the Service.

9. Limitation of Liability

To the maximum extent permitted by law, Wakily AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of revenue, lost profits, or loss of data — arising from your use of or inability to use the Service. Our total liability to you for any claim shall not exceed the amount you paid us in the three months preceding the claim.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses. We make no warranty regarding the accuracy of AI-generated responses.

11. Termination

You may cancel your subscription at any time from the billing settings. Cancellation takes effect at the end of the current billing period. We may terminate or suspend your account immediately if you breach these Terms or engage in activity harmful to the Service or other users.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which Wakily AI is incorporated, without regard to conflict-of-law provisions. Any disputes will be resolved through binding arbitration or, where arbitration is not permitted, in the courts of that jurisdiction.
